These Terms and Conditions ("Terms", "Agreement") are binding on and apply to customers ("Customer", "you", "your") using the Platform provided by HireHeroClub ("HireHeroClub", "we", "us"), from the time that HireHeroClub provides you with access to the Platform and related Services. By purchasing a subscription to our Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, along with any and all policies incorporated by reference, such as our Privacy Policy.
"Account" means the account created and used by Customer to access the Services.
"AI Technology" means the artificial intelligence and machine learning technology used in providing the hiring and recruitment services offered by HireHeroClub.
"Candidate Data" means all electronic data or information uploaded or transmitted by the Customer in relation to job candidates, including resumes, interview responses, and evaluation data.
"Platform" means the AI-powered hiring platform offered by HireHeroClub through which Customers will access the Services.
"Services" means the AI-powered hiring and recruitment services provided by HireHeroClub, including but not limited to job posting management, candidate screening, interview assistance, and evaluation tools.
"Subscription Plan" means the payment plans under which HireHeroClub provides Customer the Services, available through the Platform.
"Users" means any person authorized by Customer to access the Customer Account and use the Services under a valid Subscription Plan.
2.1 Description of Service. HireHeroClub provides an AI-powered hiring platform designed to help companies streamline their recruitment process, conduct intelligent interviews, and make data-driven hiring decisions. HireHeroClub grants the Customer a limited, non-exclusive, non-transferable, non-assignable, and non-sublicensable worldwide right to access and use the Platform and Services during the Term solely for its internal business purposes.
2.2 AI Technology. The AI Technology used in the Platform is proprietary to HireHeroClub and is subject to these Terms and Conditions. Customer acknowledges that the AI Technology may evolve and improve over time, and that specific features or capabilities may change. HireHeroClub makes no guarantees regarding the accuracy, reliability, or performance of the AI Technology.
2.3 Service Availability. HireHeroClub will use commercially reasonable efforts to make the Platform available 24 hours a day, 7 days a week, except for planned downtime and any unavailability caused by circumstances beyond our reasonable control.
2.4 Updates and Modifications. HireHeroClub may modify, enhance, or discontinue any aspect of the Platform at any time. We will provide notice of any material changes that may affect your use of the Platform.
3.1 Account Creation. To use the Services, you must create an Account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account.
3.2 User Access. You may authorize Users to access your Account. You are responsible for ensuring that all Users comply with these Terms and Conditions and for any actions taken through your Account.
3.3 Account Security. You must immediately notify HireHeroClub of any unauthorized use of your Account or any other breach of security. HireHeroClub will not be liable for any loss or damage arising from your failure to comply with this section.
3.4 Account Suspension. HireHeroClub reserves the right to suspend or terminate your Account if we believe you have violated these Terms or if your use of the Platform poses a security risk to us or other users.

4.3 Compliance with Laws. You agree to comply with all applicable laws, rules, and regulations in your use of the Platform, including but not limited to employment, privacy, and data protection laws.
5.1 Candidate Data. You retain all rights to the Candidate Data you upload to the Platform. By using the Platform, you grant HireHeroClub a license to process and analyze the Candidate Data to provide the Services. You represent and warrant that you have all necessary rights and permissions to provide the Candidate Data to HireHeroClub.
5.2 Privacy. Our collection and use of personal information is governed by our Privacy Policy.
5.3 Data Security. HireHeroClub implements and maintains appropriate technical and organizational measures to protect Candidate Data against unauthorized or unlawful processing, accidental loss, destruction, or damage.
5.4 Data Retention. HireHeroClub will retain Candidate Data for as long as necessary to provide the Services and comply with legal obligations. Upon termination of your Account, you may request deletion of your Candidate Data, subject to any legal retention requirements.
5.5 Data Processing Agreement. If required by applicable law, HireHeroClub will enter into a Data Processing Agreement with you to govern the processing of personal data.
6.1 Subscription Plans. The Services are provided on a subscription basis. You will be charged according to your selected Subscription Plan. Subscription Plans may be modified by HireHeroClub upon notice to you.
6.2 Payment Terms. All fees are non-refundable except as required by law. We may change our fees upon notice to you. Payment is due in advance of the subscription period. Late payments may be subject to interest charges.
6.3 Taxes. All fees are exclusive of taxes, which you are responsible for paying. HireHeroClub will add applicable taxes to your invoice where required by law.
6.4 Billing Disputes. You must notify HireHeroClub of any billing disputes within 30 days of the invoice date. Failure to do so will constitute your acceptance of the charges.
7.1 Platform Ownership. HireHeroClub retains all right, title, and interest in and to the Platform, including all intellectual property rights. These Terms do not grant you any rights to HireHeroClub's trademarks, service marks, or logos.
7.2 Feedback. Any feedback, comments, or suggestions you provide regarding the Platform may be used by HireHeroClub without any obligation to you.

8.1 Disclaimer of Warranties. The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. HireHeroClub disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
8.2 Limitation of Liability. To the maximum extent permitted by law, HireHeroClub shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the Platform.
8.3 Maximum Liability. In no event shall HireHeroClub's total liability to you for all damages exceed the amount paid by you to HireHeroClub in the twelve (12) months preceding the claim.
You agree to indemnify, defend, and hold harmless HireHeroClub and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:
10.1 Term. These Terms commence on the date you first access the Platform and continue until terminated in accordance with these Terms.
10.2 Termination. Either party may terminate these Terms upon notice if the other party materially breaches these Terms and fails to cure such breach within 30 days of notice. HireHeroClub may terminate these Terms immediately if you violate any provision of these Terms.
10.3 Effect of Termination. Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination.
We may modify these Terms at any time. We will notify you of any material changes by posting the new Terms on the Platform and/or sending you an email. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Platform.
12.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.
12.2 Dispute Resolution. Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration in Ottawa, Ontario, in accordance with the rules of the Canadian Arbitration Association. The arbitration shall be conducted in English.
12.3 Class Action Waiver. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
13.1 Entire Agreement. These Terms constitute the entire agreement between you and HireHeroClub regarding the Platform and supersede all prior agreements and understandings.
13.2 Waiver. The failure of HireHeroClub to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
13.3 Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
13.4 Assignment. You may not assign these Terms without HireHeroClub's prior written consent. HireHeroClub may assign these Terms without restriction.
13.5 Force Majeure. HireHeroClub will not be liable for any delay or failure to perform resulting from causes outside its reasonable control.
